Share capital and share premium

On 2 January 2025, TMF Group Limited reorganised its share capital by repurchasing 111,288,836,685 ordinary shares from Tucano Topco Jersey Limited for nil consideration and subsequently cancelling them. In addition, TMF Group Limited converted from a no-par value to a par value company and new classes of shares were created. 

Share capital consists of 13,915,377 Ordinary A Voting shares, 17,792,763 Ordinary A shares, 1,095,983,295 Preference A shares, 13,915,377 B Voting shares, 9,44,081 B Ordinary shares and 581,526,333 B Preference shares. Each share has a nominal value of €0.001. Total share capital of TMF Group limited amounts to €1.7 million. All shares have been paid in full. All shares were issued at their nominal value, no share premium or additional paid‑in capital is recognised.
